1. Acceptance of Terms
These Terms of Service (the "Terms") govern your access to and use of the Nexus Multimedia website at nexusmultimedia.ai and any related subdomains (the "Site"), as well as your initial inquiries about our services. By accessing the Site or submitting a form, you agree to be bound by these Terms. If you do not agree, do not use the Site.
Paid client engagements are governed by a separate written agreement signed by both parties (a "Service Agreement"). In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement controls for that engagement.
2. Description of Services
Nexus Multimedia provides marketing, public relations, search engine optimization, reputation management, AI content, social media, and related professional services. Specific scopes, deliverables, fees, and timelines for paid work are set out in individual Service Agreements.
3. Client Engagements
Use of the Site, including submitting a contact form, requesting a free audit, or otherwise inquiring, does not create a service relationship, contractual obligation, or any duty of performance on our part. A binding engagement begins only when both parties sign a written Service Agreement and the agreed payment terms are met.
4. Eligibility
You must be at least 18 years old and have the legal authority to enter into binding agreements to use the Site or engage Nexus Multimedia for services. By using the Site, you represent that you meet these requirements.
5. User Conduct
When using the Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms
- Submit false, misleading, or impersonating information
- Interfere with the operation, security, or integrity of the Site
- Attempt to gain unauthorized access to systems, accounts, or data
- Scrape, copy, or systematically extract content for competing commercial purposes
- Upload or transmit malicious code or harmful content
- Harass, threaten, or defame any person or organization
6. Intellectual Property
All content on the Site, including text, graphics, logos, images, audio, video, design, code, and the compilation of all content, is owned by Nexus Multimedia or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
You may view and share Site content for personal, non-commercial reference. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Site content without prior written permission from Nexus Multimedia.
"Nexus Multimedia" and the Nexus Multimedia logo are trademarks of Nexus Multimedia. All other trademarks and publication marks referenced on the Site are the property of their respective owners and are used for descriptive purposes only.
7. Results and Performance
Unless explicitly stated in a signed Service Agreement, no specific outcome, ranking, placement, removal, or revenue figure is promised, guaranteed, or warranted. Any goals, projections, or estimates provided during sales discussions are good-faith forecasts only.
8. Testimonials and Case Studies
Some testimonials and case studies displayed on the Site are representative examples that illustrate the type of work we perform and the kinds of outcomes our services have produced. These are clearly labeled where used. Names, identifying details, and metrics may be generalized to protect client confidentiality. All testimonials, whether labeled as representative or attributed to a specific client, reflect the experience of that client or that type of engagement and are not guarantees of similar results for other clients.
9. Disclaimers
The Site and any information on it are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or accuracy.
Nexus Multimedia does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components, that defects will be corrected, or that information on the Site is current, complete, or accurate at all times.
Nothing on the Site constitutes legal, financial, tax, medical, or other professional advice. You should consult appropriate professionals for advice tailored to your situation.
10. Limitation of Liability
To the fullest extent permitted by law, Nexus Multimedia, its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Site, even if advised of the possibility of such damages.
For paid client work, total liability is governed by the limitation of liability clause in the applicable signed Service Agreement. For Site use absent a Service Agreement, our aggregate liability shall not exceed one hundred United States dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Nexus Multimedia and its owners, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.
12. Third-Party Services and Links
The Site may reference or link to third-party websites, platforms, or publications. We do not control, endorse, or assume responsibility for any third-party content, products, or services. References to media outlets where our clients have appeared describe past placements obtained for clients and do not imply any endorsement, partnership, or affiliation with the outlet.
13. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
14. Termination
We may suspend or terminate your access to the Site at any time, without notice, for conduct that we determine in our sole discretion violates these Terms or is harmful to the Site, our business, or other users. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Site shall be resolved as follows:
- Informal resolution first: the parties will attempt to resolve any dispute informally by contacting one another in good faith.
- Binding arbitration: if informal resolution fails within 30 days, the dispute shall be resolved by binding arbitration administered by JAMS or the American Arbitration Association under its applicable consumer or commercial rules, seated in San Diego County, California, in the English language, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
- Exception: either party may seek injunctive or equitable relief in a state or federal court located in San Diego County for misuse of intellectual property, breach of confidentiality, or to enforce the arbitration agreement.
- Class action waiver: to the fullest extent permitted by law, you and Nexus Multimedia each waive the right to bring or participate in any class, collective, or representative action.
16. Changes to These Terms
We may revise these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be communicated by a notice on the Site or, where appropriate, by direct contact. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
17. Severability and Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable. These Terms, together with the Privacy Policy and any signed Service Agreement, constitute the entire agreement between you and Nexus Multimedia regarding the Site and supersede any prior understandings.
